RULES & BYE-LAWS

1. NAME OF CLUB
That the Club to be called the “Talkin Tarn Amateur Rowing Club”.

2. OBJECTS OF THE CLUB
(a) To promote and facilitate the sport of rowing.
(b) To provide an opportunity for people of all ages and backgrounds to participate in the sport of rowing.

3. MEMBERSHIP
(a) Any person is eligible for Membership (application is by way of submission of an application form, obtainable from the Club’s Secretary)
(b) The Committee reserve the right to refuse or suspend Membership. Any such person will be given a reason and will have the right to appeal.
(c) The Club, on recommendation of the Committee may, in General Meeting elect an Honorary Member.
(d) Grade of Membership to the Club shall be:-
     (1) Full Membership.
     (2) Junior Membership.
     (3) Temporary Membership.
(e) A Full Member shall be entitled to use of Club facilities, to hold office and to vote at all General Meetings of the Club.
(f) A Junior Member shall not have attained the age of 18 years before 1st September preceding the AGM. They shall be entitled to use of club facilities but shall not vote at General Meetings unless they have been elected onto the Committee as Junior Representatives.
(h) Temporary Membership shall be for a period of 3 consecutive months and have the rights of a Junior Member.

4. ANNUAL SUBSCRIPTIONS
(a) The subscriptions shall be fixed at the Annual General Meeting and shall be operative from the following day.
(b) The Annual Membership Year for existing Members as at 30th November 2006 shall commence on the day after the Annual General Meeting each year and annual subscriptions shall become payable on the day after the Annual General Meeting each year (or on 1st December should there for some reason be no Annual General Meeting in the November of any particular year).  
(c) The Annual Membership Year for Members joining the Club after 30th November 2006 shall commence on the date that they first become a Member of the Club (hereinafter referred to as their “joining date”) and shall run for a period of 12 calendar months from that date.  The annual subscripitions of such Members shall become payable on their joining date each year.  
(d) No person shall be allowed to use Club property or be allowed to vote, until subscription is paid.
(e) The Chairman and/or Captain may waive Rule 4(d) in exceptional circumstances.

5. LIST OF MEMBERS
That a list of Members’ names and addresses shall be posted by the Secretary in the Boathouse.

6. OFFICERS
That the Club shall elect at the Annual General Meeting by Members present the following officers:- Hon. President, Hon. Vice-Presidents, Chairperson, Secretary, Treasurer, Captain, Vice-Captain, Hon. Auditor and up to two Junior Representatives.

7. COMMITTEE
(a) That the business of the Club be conducted by a Committee consisting of Chairperson, Captain, Vice-Captain, Treasurer, Secretary, Safety Officer, Welfare Officer, Junior Representatives (up to a maximum of two), and not more than nine other Members (excluding co-opted Members) three to be elected annually for a three year period.
(b) Any casual vacancy may be filled by the Committee for the duration of the current year and may be filled at the next Annual General Meeting for the remainder of the original term.
(c) The Committee shall have the power to co-opt not more than two members for the current year.
(d) Candidates for election shall be those of the retiring Committee who shall offer themselves for re-election and such other Members of the Club whose nominations duly proposed and seconded by Members of the Club in writing, shall be in the hands of the Secretary by 1st November.
(e) Five shall form a quorum.
(f) That the Committee shall manage the affairs of the Club according to the Rules and apply the funds of the Club to the objects.  The Club is non-profit making and any surplus income or gains will be reinvested in the Club.  The Club does not permit any distribution of Club assets, in cash or in kind to members or third parties.  This does not however prevent donations by the Club to charities or to other Clubs that are registered as Community Amateur Sports Clubs.
(g) That the Committee shall have the power to revise, alter or rescind, or make any additional Bye-laws for the regulation of the Club, such Bye-laws to take effect as from a date that the Committee shall fix.
(h) That the Committee shall have power to appoint Sub-Committees.
(i) That a Member of the Committee who fails to attend four successive meetings without adequate reason, shall cease to serve on the Committee.
(j) That any member of the Committee who receives notification of termination of Agreement from the Carlisle City Council shall notify this to the Secretary without delay.
(k) That the Committee, at each Committee Meeting shall satisfy itself that there are no outstanding payments due to the Carlisle City Council.

8. RECORDS
(a) That the Secretary shall after consultation with the Chairperson summon meetings, whether general or otherwise and shall take and preserve full and accurate minutes of all meetings of the Club in books provided for that purpose. That Minute Book shall be available at every meeting.
(b) That the Treasurer shall keep a complete and accurate account of the Club finances.
(c) That the Hon. Auditor shall audit the Accounts for presentation at the Annual General Meeting. In the event he shall be unable to act, the Committee to appoint a substitute.

9. GENERAL MEETING
(a) That the Annual General Meeting of the Club Members to be held during November, notice to be posted in the Clubhouse at least 14 days prior to such meeting.
(b) That no business except that ordered by the Committee shall be discussed at such meetings unless notice thereof be given to the Secretary in writing at least seven days prior to the meeting.
(c) An Extra-ordinary General Meeting shall be called by the Secretary on receipt of a requisition signed by not less than six Full Members of the Club, stating the business proposed.

10. RULES & BYE-LAWS
(a) That no alteration of these Rules can be made except at an Annual General Meeting or an Extra-ordinary General Meeting.
(b) That the Rules and the Bye-laws in force for the time being shall be posted in the Boathouse, and that every Member shall be decreed to be acquainted with, and bound by, such Rules and Bye-laws. Any dispute shall be referred to the Committee whose decision shall be final.
(c) The initial Bye-laws are set out in the Appendix to these Rules.

11. INSURANCE
That the Club and all boat-owning Members must carry adequate insurance to comply with current Carlisle City Council regulations.

12. ACTIVITIES
Members participation in Club activities shall do so in such a manner as shall not contravene the Club Agreement with the Carlisle City Council. A copy of the Agreement shall be available with the Secretary for perusal by Members.

13. DISSOLUTION OF CLUB
If at any General Meeting a resolution for the dissolution of the Club is passed by a majority of the members present, and, at a special general meeting held not less than six weeks later (of which not less than four weeks written notice has been given to each member and at which not less than one-half of the Members are present) that resolution is confirmed by a resolution passed by a majority of two-thirds of the Members voting on it, the Committee must immediately, or at such future date as is specified in the resolution, proceed to realise the property of the Club, and after the discharge of any liabilities, must apply its net assets to:
(a) the purposes of the sports governing body for use in community related sport, and/or
(b) the purposes of another Community Amateur Sports Club, and/or
(c) the purposes of a Charity
on the completion of the distribution of assets the Club will be dissolved.

14. A.R.A. WATER SAFETY
The Club shall adhere to the A.R.A. Water Safety Code. A copy shall be displayed in the Boathouse. The Committee shall appoint a Water Safety Advisor annually.

15. CHILD PROTECTION
The Club shall adhere to the A.R.A. Protection Procedure.

16. EQUAL OPPORTUNITIES
The Club will ensure that the talents and resources of all members are utilised to the full and that no member receives less favourable treatment on the grounds of gender, disability, marital status, religion, belief, social class, ethnicity, nationality, age or sexual orientation or is disadvantaged by conditions or requirements except as a necessary consequence of the requirements of a particular sport.

“APPENDIX” BYELAWS
(1) That the colours of the Club shall be Maroon and Gold.
(2) That a Member of the Club shall not enter for any public race under the name of the Club without the approval of the Captain.
(3) If any Member shall damage any property he shall immediately report the same to the Captain. Whether such damage, be it accidental or otherwise, shall be decided by the Committee, who may on assessing the damage, require the Member wholly or partially to make good such damage.
(4) Members shall at all times obey the reasonable instructions of the Captain or Vice-Captain and any dispute may be referred to the Committee whose decision shall be final.
(5) Club Members shall obey the lawful and reasonable request of the Carlisle City Council Wardens. Any dispute should be referred to the Secretary when the matter may be referred to the Committee whose decision shall be final.
(6) That all craft shall be launched from the place designated by the Committee and agreed by the Carlisle City Council.
(7) That all challenge trophies won by Members of the Club shall remain the responsibility of the Committee and all prizes won by the crews of the Club at any public Regatta shall, if not capable of fair division (i.e. single cup or other article) the prize shall be the property of the Club and shall be handed over to the Committee.
(8) That a Member (by leave of the Committee) may keep a private boat on the premises reserved for the Club, providing such boat does not displace any boat belonging to the Club, for an annual fee of £50 unless the boat is available for use by club members by prior arrangement with the owner and the Captain, in which case the fee will be waived. The Club shall not accept any responsibility for the safety of such boats.
(9) That the Captain shall select all crews and scullers to represent the Club at Regattas. He shall appoint a Captain of each boat. All crews in training shall be under the absolute control of the Captain or Coach for the time being.
(10) That the rowing in racing eights, fours or pairs, the command of the Captain of the boat shall be strictly observed and any failure to observe such commands shall be reported to the Club Captain by the Captain of the boat. The Captain of the boat shall be answerable to the Committee for any damage done to the equipment.
(11)  That no Member shall be permitted to use any racing craft except by the permission of the Captain or Vice-Captain and unless they are able to produce satisfactory evidence of their ability to swim 100 metres lightly clothed.
(12) That all Members on landing from a racing boat shall assist in the housing of such boat. Any member refusing shall be reported as soon as possible to the Captain.
(13) That all Members when using racing craft shall be suitably attired whether training or competing in any Public Regatta.
(14) The attire of a Member when competing at a Public Regatta shall be the recognized Club strip.
(15) Safety Boat. All safety boat drivers to hold the R.Y.A. Safety Boat Course Levels 1 and 2.
